Educational institutions and trade associations.
ICMS will approve link requests from these organizations if ICMS determines that: (a) the link would not reflect unfavorably on ICMS and its accredited businesses; (b) the benefit to ICMS from the visibility associated with the hyperlink outweighs the absence of ICMS accreditation; and (c) where the link is in the context of general resource information or is otherwise consistent with editorial content in a newsletter or similar product furthering the mission of the organization.
These organizations may link to ICMS's home page, to publications or to other Web site information so long as the link: (a) is not in any way misleading; (b) does not falsely imply sponsorship, endorsement or approval of the linking party and its products or services; and (c) fits within the context of the linking party's site.

The ICMS website does not collect information that can personally identify you, such as your name and email address, unless you specifically and knowingly provide that information. Any such information you do provide will only be used for the stated purpose, or range of purposes, such as to update you on new additions to the website. Website feedback may be reproduced in reports, but will always be anonymised unless we have specifically obtained your written consent to attribute it to you.

We may also make use of cookies (small pieces of text stored on your computer), but no personal information is ever collected or analyzed by this service.

ICMS TERMS AND CONDITIONS FOR PROFSSIONAL MEMBERSHIP
These Terms and Conditions (the “Terms”) govern the Member’s association with, access to, and use of, ICMS resources. ICMS shall post these Terms on its website (www.cellmedicinesociety.org) for all Members to review.
These Terms are binding to the Member upon the acceptance of the Member’s application of membership by the ICMS and remain binding during the term of its membership in ICMS.
1. Conformance with ICMS Standards. At all times, the Member shall conform to the standards, policies and practices of ICMS as may be promulgated by ICMS from time to time. The promulgated standards, policies and practices of ICMS, as modified, amended, revised, or amplified from time to time (the “ICMS Standards”), are herein incorporated in these Terms by reference and made part hereof as though set forth in full in these Terms.
2. Compliance with Laws and Regulations. In furtherance of its ICMS Membership, Member shall comply with all applicable laws, rules and regulations, and, do everything in their power to ensure that its respective activities are in compliance with the rules of any accrediting or regulatory body, agency or authority having jurisdiction over ICMS matters.
3. Payment of Fees. The Member agrees to promptly remit all fees required for membership (”Membership Fees”) due to ICMS.
4. Term of Membership. Membership fees paid to the ICMS shall be for 12 calendar months commencing on the first day of the month following the acceptance of the membership application and payment of membership fees.
5. Termination.
(a) By Any Party.
(i) Breach. The Membership Agreement may be terminated immediately by any Party with written notice to the other Party upon breach of this Agreement by another Party, with such breach continuing for ten (10) days after written notice to the non‑breaching Party stating the specific default or breach; provided, however, that if the default is not susceptible of cure within said ten (10) day period, then the breaching Party shall have ninety (90) days to cure such breach provided that the breaching Party commences action to cure said breach within the ten (10) day notice period and continues diligently to cure the breach.
(ii) By Notice. The Membership Agreement may be terminated by a Member with written notice to ICMS upon the promulgation of a notice by ICMS to modify these Terms. Such written notice of termination to ICMS must be received by ICMS on or before the effective date of such modifications to the Terms.
(b) Termination By ICMS. ICMS may terminate the Membership Agreement of a Member, without notice to Member, upon:
(i) termination of Member’s membership in ICMS;
(ii) Member’s failure to adhere to the ICMS Standards in effect from time to time;
(iii) for "Cause," as herein defined;
(A) such termination for Cause shall be effective immediately upon the giving of written notice of such termination to Member or as of a later date stated in such notice;
(B) in the event that ICMS terminates the Membership Agreement for Cause, the Membership Agreement shall terminate without further obligation by ICMS or the Member;
(C) for purposes of these Terms, "Cause" shall include:
(r) suspension or revocation of Member's medical license, specialty board certification, registration or any other certificate or license which ICMS deems necessary or appropriate for Member's performance of duties hereunder;
(s) the plea of guilty or nolo contendere to, or conviction for, the commission of a felony offense by Member;
(t) Member's violation of the Code of Medical Ethics;
(u) termination of Member's professional liability coverage and inability to obtain substitute coverage;
(v) Member's having committed any actions or inactions which pose a threat to the health or safety of patients;
(w) Member's engaging in fraud, embezzlement, or the like;
(x) Member's material breach of any Sections of these Terms; and
(y) Member's death or disability (defined herein as Member's incapacity due to physical or mental illness, resulting in Member being absent from the performance of his duties under the Licensed Use for a period of four (4) consecutive months.
(c) Refund of Membership Fees. The Parties agree that, in the event of termination of this Agreement, Member shall not be entitled to any refund of membership fees, and shall remain liable to pay to the ICMS all amounts owed to the ICMS which have accrued prior to such termination.
6. Breach; Failure to Comply with ICMS Standards. In addition to any other remedies provided herein, in the event of a breach of any provision of these Terms, ICMS reserves the right immediately to suspend the membership of the Member in ICMS and to publicize the breach to Members as well as to licensing and regulatory bodies and authorities, and to public media sources.
7. Conflict; Controlling Language. In the event of any conflict between these Terms and the terms and conditions of any specific ICMS Agreement, the terms and conditions of such specific ICMS Agreement shall control.
8. Modifications. ICMS may modify these Terms at any time and at its sole discretion. Each Member shall be notified of the proposed modification(s) thirty (30) days in advance of their taking effect. Such modifications shall be effective upon posting of the modified terms and conditions on the ICMS website, which posting shall not take place before proper notice has been given.
9. Miscellaneous. These Terms along with the ICMS Membership Agreement and ICMS Agreements entered into by the Member constitute the entire agreement among the parties with respect to the matters contained herein. They supersede any prior agreement or understandings among them with respect to the matters contained herein. Any term or provision of these Terms which is invalid or unenforceable in any jurisdiction shall, as to that jurisdiction, be ineffective to the extent of such invalidity or unenforceability without impairing the right of each party to enjoy the essential, material considerations contemplated by these Terms, rendering invalid or unenforceable the remaining terms and provisions of this Agreement, or affecting the validity or enforceability of any of these Terms in any other jurisdiction. If any provision of these Terms is so broad as to be unenforceable, the provision shall be interpreted to be only so broad as is enforceable.
